Corporate and Business Transactions
Mr. Sheppard’s corporate practice focuses a wide variety of corporate, finance and governance law matters, including private mergers and acquisitions, equity and debt financing, corporate governance new company organizations, joint ventures and strategic alliances. Mr. Sheppard’s clients range from start-up ventures to Fortune 500 companies. Mr. Sheppard regularly advises companies in connection with the negotiation and documentation of asset and stock purchase agreements, buy-sell agreements, financing agreements, covenants not to compete, stock option agreements, consulting agreements and provides advise to management on business planning matters as they may be affected by various legal issues. In addition, Mr. Sheppard has represented numerous banks and private lenders and provides legal advice in connection with letters of credit, equipment leases, security agreements and securitized financing.
Real Estate Transactions
Mr. Sheppard plays a leadership role in the real estate practice at Sedgwick. His real estate practice focuses on transactions involving owners and users of office buildings, commercial and industrial facilities as well as real estate finance, joint venture development, ground lease practice, and facility acquisition and disposition. Mr. Sheppard has experience in such varied transactions as the purchase and sale of shopping centers, office buildings, hotels, office parks and single-family residential subdivisions.
Affiliations, Activities and Accomplishments
Mr. Sheppard is a member of the California State Bar Association, Sections on Real Property and Business Law. He is a former California real estate broker; a former director of TMC Development Company, a US Small Business Association community-based lender; a former director of the Leukemia Society, San Francisco Chapter; and a former commodore of The San Francisco Yacht Club.
