Biography
Gary C. Sheppard is chair of the firm’s Corporate Practice Group. Mr. Sheppard focuses his practice on non-public corporate and business matters such as operations, restructuring, governance, stock and asset purchase agreements, equity and debt financing, joint ventures, strategic alliances, private merger and acquisition, formation and recapitalization. Mr. Sheppard regularly advises clients in matters involving corporation formation, operation and governance, and in connection with the negotiation and documentation of manufacturing agreements, distribution agreements, supply agreements, joint venture agreements, network access agreements, VAR agreements, warehousing agreements, equipment acquisition agreements, equipment leasing agreements, financing agreements, factoring agreements, consulting agreements, and business planning matters. Mr. Sheppard has represented numerous banks, private lenders and borrowers in connection with loan agreements, securitized and unsecuritized financing, letters of credit, and sale and leaseback.

In addition to his corporate practice, Mr. Sheppard has extensive experience in the commercial real estate industry and established the Real Estate Practice Group at Sedgwick. His real estate practice focuses on transactions involving owners and users of office buildings and commercial and industrial facilities, as well as purchase and sale, ground leasing, master leasing, build-to-suit leasing, joint ventures, construction, development, financing, workouts, land use, and regulatory issues. Mr. Sheppard has experience in such varied transactions as the purchase and sale of shopping centers, office buildings, hotels, office parks and single-family residential subdivisions.
Affiliations, Activities and Accomplishments
Mr. Sheppard is a member of the California State Bar Association Sections on Real Property and Business Law. He is a former California real estate broker; a former director of TMC Development Company, a U.S. Small Business Association community-based lender; a former director of the Leukemia Society, San Francisco Chapter; and a former commodore of The San Francisco Yacht Club.
